Businesses for Sale Offerings Page

Alberta Businesses For Sale

January 2017  December was busy. There are buyers with employment settlements or mortgage money because of the current low rates. The baby boom generation is retiring.  Stuff’s happening,

We’ve had interest from sellers ready to retire and from buyers hoping to use golden handshakes to buy a business.

Our goal is to ensure everyone who is actively looking for a business in Alberta knows that our clients have something to sell.

We use web advertising to draw interest directly to an offerings profile on this web site.

It works. Amazon says we are the busiest business brokerage site in Alberta. (Details here)

We can get pretty specific using keywords to draw a reader to a page showing a specific offering that matches his entered search criteria. This knowledge lets us show the ads that send people to our this home page or to the specific web pages for each of our offerings.

There are no books on this. It only comes with experience. We’ve had over a decade learning then putting into practice what will draw qualified interest to our web site.

If you are thinking of selling, now is the time to start exploring your options. Start by clicking on our Business Seller’s Information Page

Buyers should note that our Non-Disclosure Form has to be on file to receive info that might identify a seller.

No Surprises

Pricing Explained: The negotiated price of any firm is based on a comfort factor that the cash flow will continue through the change of control.

This comfort value is unknown and can only be derived through negotiation. The asking price is the Seller’s opening stance for the negotiations that follow.

Firms are sold without debt and current assets are extra. These are expressed as long term debt or in the current balance which changes daily as business happens.

Most purchase agreements will call for any debt to be paid-off or else deducted from the negotiated price on the close.

The final price will be adjusted upwards for all current assets. The current assets of a firm are seldom material to the total value of the transaction except for those firms that carry inventory.

The exact value of the current balance at the end of the last accounting year is always known and the seller can give a good estimate of its current value. To ease worries that there may be a surprise on the close, most sellers are willing to lock in maximum adjustment for the current balance during negotiations.

A Note about the Financial Information

on this Web Site

All financial information has been provided by the Sellers. We cannot verify the accuracy or completeness of this information. No deal should be completed without the buyer having the opportunity to examine all aspects of the financials before actual purchase and being able to withdraw from the deal without penalty should he discover something not to his satisfaction. Often this is done simply by inserting ‘conditional upon the approval of my accountant’ into the offer or letter of intent. Verification of financial information is usually done after an accepted offer and before closing as part of the due diligence step in the transaction process. This timing is desirable for several reasons including protecting the Buyer from incurring fees to advisors prior to there actually being a conditional deal in place.

 Almost for Sale

‘Almost for Sale’ are businesses with owners who, for a variety of reasons, are almost but not quite motivated to list. Their number one reason is the fear that the fact they are for sale will drift back to customers, staff or suppliers. I have been told that if I approach them with a serious buyer qualified as to time, talent, and treasure, they will open discussions.

 Are you ‘Almost For Sale’?

Call or email me to discuss how we can add your business to the above list without signing a full fledged listing agreement. Since mid-09,  I have had many more inquiries from buyers than sellers. They still want to buy on the numbers, but they are qualified and ready buyers.

Look for Other Businesses for Sale

We are in a market with a shortage of product but you might want to try the Calgary Kijiji site. Kijiji has some nice owner operated businesses. If you don’t think you want to negotiate on your own, look over this buyer brokerage agreement then give me a call to see if I can help.

Finally, if you do see something that makes money but is not for you, let me know about it or tell the seller about my web site and that I have so many buyers right now that I’m not looking for sellers to sign exclusive listings.

Either I have the buyer or I don’t. There’s no need to tie him up.

Buyer’s Agency is a technical term that means a buyer engages me to canvas a certain industry or even a specific company telling them that I am acting for a particular ‘qualified but secret’ client with a specific interest.

Owners with no prior interest in selling are often willing to entertain offers appearing ‘out of the blue’.

Here is a list of ‘buyer interests’ expressed to me by various people wanting to buy a business. Contact me to put your interest on this list.

I have been approached by several active buying groups.

One group is looking for cash flow from mid-market companies exhibiting: Minimum of ½ MM EBITDA and max of $5MM EBITDA. Minimum 3 years in business with stable and growing cash flow. Loyal employee base with a key manager that is willing to stay on with the corporation.

I have a buyer for sign shop with a good customer base. Buyer can pay up to $300,000 based on the cash flow.

There is an oil field services conglomerate looking to expand. They will want vendor financing as a proof of the seller’s belief in the business.

Or, if you are not in a hurry, I might find others buyers who pay cash. Call me.

Other active buyers have asked me to keep an eye out for other Calgary businesses for sale:

  • We are looking for firms marketing OFFLINE for LOCAL BUSINESSES (dentists, accountants, lawyers, restaurants, electricians, plumbers, etc.). Services may include SEO (Search engine optimization), PPC (Pay-per-click advertising), online display advertising, video advertising and online lead generation.
  • I am in contact with Maritimers wanting to expand their O&G field testing into Alberta in . Can pay into seven figures.
  • Gas station without property. Can pay up to $500,000
  • RV storage with good cash flow
  •  Calgary Printer with about $300,000 in NCF
  • A larger HVAC Contractor
  • Plus 15 hair salon
  • A Subway franchise.
  • A firm servicing, and/or distributing industrial controls and measurement equipment and burner management technologies.

I also have folks “I’m supposed to call” if I come across:

  • ATM’s
  • Accounting Practice
  • Bookkeeping Practice
  • Bottle Depots
  • Car Washes
  • Chemical Industry distributor or manufacturer
  • Computer Service Company
  • Day Care Centre

If you are a competitor looking over my web site, I would love to work with you.

Please see working with other brokers then send me the link to your web site that gives the same information so we can work together to make stuff happen for our clients.
