No Surprises

Pricing Explained: The negotiated price of any firm is based on a comfort factor that the cash flow will continue through the change of control.

This comfort value is unknown and can only be derived through negotiation. The asking price is the Seller’s opening stance for the negotiations that follow.

Firms are sold without debt and current assets are extra. These are expressed as long term debt or in the current balance which changes daily as business happens.

Most purchase agreements will call for any debt to be paid-off or else deducted from the negotiated price on the close.

The final price will be adjusted upwards for all current assets. The current assets of a firm are seldom material to the total value of the transaction except for those firms that carry inventory.

The exact value of the current balance at the end of the last accounting year is always known and the seller can give a good estimate of its current value. To ease worries that there may be a surprise on the close, most sellers are willing to lock in maximum adjustment for the current balance during negotiations.

Look for Other Businesses for Sale 

We are in a market with a shortage of product but you might want to try the Calgary Kijiji site. Kijiji has some nice owner operated businesses. If you don’t think you want to negotiate on your own, look over this buyer brokerage agreement then give me a call to see if I can help.

Finally, if you do see something that makes money but is not for you, let me know about it or tell the seller about my web site and that I have so many buyers right now that I’m not looking for sellers to sign exclusive listings.

Either I have the buyer or I don’t. There’s no need to tie him up.

Buyer’s Agency is a technical term that means a buyer engages me to canvas a certain industry or even a specific company telling them that I am acting for a particular ‘qualified but secret’ client with a specific interest.

Owners with no prior interest in selling are often willing to entertain offers appearing ‘out of the blue’.

I have been approached by several active buying groups.

One group is looking for cash flow from mid-market companies exhibiting: Minimum of ½ MM EBITDA and max of $5MM EBITDA. Minimum 3 years in business with stable and growing cash flow. Loyal employee base with a key manager that is willing to stay on with the corporation.

I have a buyer for sign shop with a good customer base. Buyer can pay up to $300,000 based on the cash flow.

There is an oil field services conglomerate looking to expand. They will want vendor financing as a proof of the seller’s belief in the business. 

Or, if you are not in a hurry, I might find others buyers who pay cash. Call me.
